The terms “you,” “users,” “buyers,” or “service providers” refer to users who interact with the ITProfiles website (the “Website”) or submit content to ITProfiles via the Website, email, phone, or other methods.

These Terms form a legal agreement that governs your use of the ITProfiles Website and services, including updates and available materials. In such cases, “you” or “your” also includes the company or affiliates you represent. Account Registration
When using our services, you may be asked to create an ITProfiles account. You are responsible for maintaining accurate and up-to-date information in your account. ITProfiles reserves the right to refuse services or terminate accounts if the information provided is inaccurate or incomplete. You are responsible for safeguarding your account information, including your username and password. Please notify ITProfiles immediately if you notice any unauthorized use of your account. ITProfiles cannot be held responsible for losses or damages due to improper account management.
Your Use of the Services

User Content
Your Responsibility for the Content You Submit
Our services allow you to submit content such as reviews, comments, messages, and other materials (collectively, “User Content”) via our website, email, phone, surveys, or other means. This content may or may not be visible to other users.
By submitting User Content, you agree that you are solely responsible for what you share. Once submitted, you cannot withdraw your content. You also agree that the information you provide is accurate and up to date, and you confirm that you have the necessary rights to share it without infringing on anyone else’s rights.
You take full responsibility for the content you submit, including how others might rely on it. Submitting false, misleading, or defamatory content could expose you to legal risks, especially if it violates third-party rights or includes illegal material. By submitting User Content, you agree to defend, indemnify, and hold ITProfiles harmless from any claims arising from your submissions, including but not limited to claims of defamation. If any disputes arise, we reserve the right to take control of the defense at our own expense, and you agree to assist us in defending against any claims.
Additionally, we reserve the right but are not obligated, to review, edit, move, or remove any User Content at our discretion. For example, we may delete a review if it violates our Review Guidelines. ITProfiles has no obligation to retain or provide copies of your submitted content.
Your Risk in Using User Content
ITProfiles does not verify, endorse, or adopt any User Content, and you should assess any risks when relying on such information. References to any products, services, or other information by trade name, trademark, manufacturer, or supplier - and any rankings on the site - do not imply endorsement by ITProfiles. User Content and rankings reflect third-party opinions, which may contain errors. ITProfiles makes no promises about the quality, accuracy, or reliability of any User Content or rankings. You also acknowledge that using our services may expose you to content that you may find offensive or objectionable.
From time to time, ITProfiles may offer incentives to encourage users to submit reviews, but these incentives are not based on whether the review is positive or negative.
ITProfiles is under no obligation to enforce the Terms on your behalf. You may notify us if you believe another user has violated the Terms, but ITProfiles reserves the right to investigate and enforce these Terms at our sole discretion.
Your Risks in Using ITProfiles' Shortlist, Consultation Service, and Project Matchmaking Services (the “Service”)
ITProfiles helps clients connect with professional service providers (referred to as “Vendors”) through our identification and verification tools. However, ITProfiles is not involved in any direct engagements between these Vendors and clients (“Clients”). Any arrangement between you and any Vendors you find through our platform is made at your own risk. We recommend using legal contracts reviewed by qualified legal professionals to formalize these engagements. ITProfiles does not guarantee results and is not liable for any issues that arise between Vendors and Clients. ITProfiles is not a party to any agreements made between third parties and does not assume any legal obligations, including indemnifications or warranties.
Clients should be aware that ITProfiles does not guarantee or endorse any specific Vendors on the platform, even those that are verified or sponsored. ITProfiles reserves the right to monitor all requests submitted through the project request form, consultation form, or email. Requests deemed inappropriate, at ITProfiles' sole discretion, will not be processed. Vendors are only allowed to contact clients regarding the specific requests submitted via ITProfiles' project request form. ITProfiles does not promote or favor the services of any particular Vendor listed on the platform, nor does ITProfiles act as an agent, broker, or representative of any Vendor. Any fees collected by ITProfiles are solely for maintaining the platform and its services.
Information provided during the submission of a project request form is subject to our Privacy Policy. By using ITProfiles' services, you may share personal information and project details. All users agree to share this information with the service providers listed on ITProfiles and its affiliates and partners.
By submitting this information, users agree to be contacted by ITProfiles, service providers listed on the platform, and ITProfiles' affiliates and partners via phone, email, fax, or other reasonable communication methods, using the contact details provided in the project request form.
If the information you provide is found to be inaccurate, outdated, or incomplete, or if ITProfiles has reason to believe so, we reserve the right to reject your project request.
Disclaimer on Vendor Profiles
The profiles on ITProfiles are for informational purposes only. While we strive to provide accurate and useful information, errors may occur from time to time due to user-generated content or other reasons. We work hard to correct these errors as quickly as possible, but ITProfiles is not responsible for any inaccuracies. Before engaging with any Vendor found on ITProfiles, Clients should confirm all relevant details with the Vendor and conduct their own due diligence. ITProfiles does not guarantee the performance of any services provided by Vendors listed on the platform.
ITProfiles’ License to User Content
When you submit User Content through our services, you grant us a global, perpetual, irrevocable, royalty-free, non-exclusive, transferable, and sub-licensable license to use that content for any purpose, as per these Terms. This includes the right to use, publish, modify, copy, distribute, adapt, edit, reformat, translate, and create derivative works from your content, in any format or medium, whether known now or developed in the future. We may use your content to promote, distribute, or enhance the Services across various media without needing further consent, notification, or compensation to you or any third parties. This also applies to creating PDF case studies based on reviews that service providers listed on ITProfiles may use to promote their services.
ITProfiles and its licensees may also display advertisements alongside your content, and you are not entitled to any compensation for these ads. The placement and nature of these ads can change without notice.
Feedback
Any feedback you provide about our services, including suggestions for changes, improvements, or corrections, becomes the property of ITProfiles. By submitting feedback, you assign all rights in it to ITProfiles without any compensation to you.
Third-Party Data on Service Providers
By using our platform, service providers consent to ITProfiles collecting and displaying additional third-party data, which can include information from open-source research or data obtained from credit reporting agencies.

When using ITProfiles’ services, you agree not to engage in or encourage any of the following activities:
Ownership and Intellectual Property
While you own the User Content you submit, ITProfiles owns everything else on the platform, including design, features, code, compilation of User Content, and aggregate reviews and ratings. The services provided by ITProfiles are protected by copyright, trademark, and other intellectual property laws in the US and internationally. Unless explicitly permitted, you cannot copy, modify, or use ITProfiles’ intellectual property without prior consent.
ITProfiles trademarks, logos, and service marks are the exclusive property of ITProfiles and may not be copied or used without our written permission. Any other trademarks mentioned on ITProfiles belong to their respective owners.
Copyright Policy
ITProfiles respects the intellectual property rights of others and expects users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe that User Content on our platform infringes on your copyright, please submit a notice to our copyright agent with the following details, as required by the Digital Millennium Copyright Act (DMCA):

We reserve the right to remove User Content that is alleged to infringe on copyright or is otherwise illegal, without prior notice and at our sole discretion. We may also terminate a user’s account in cases of repeat infringement.
Sponsorships & Incentivized Reviews
Sponsorships allow companies to promote their profiles on ITProfiles by becoming a sponsor, as outlined in our Sponsorship options. When users visit a review page, sponsors are displayed first in the list, marked with a sponsor flag. Sponsorship does not influence a company's ranking on ITProfiles or its position in the leaders matrix, nor does it guarantee traffic, leads, business, or sales. Sponsorship only affects a company’s position in the list and provides access to additional ITProfiles support services.
If you offer free or discounted services or products in exchange for a review, the review must clearly state that:
ITProfiles Purchase Terms & Payment
All services, including ITProfiles+, Sponsorship, and Featured Memberships on ITProfiles or The Manifest (collectively, “Listing Services”), are subscription-based and require a minimum 12-month commitment unless otherwise specified. Your Agreement with ITProfiles will last for the duration specified in your Order Form (the "Term"). Even if we allow you to divide payments into installments, you agree to commit to a full year of subscription. Payment is required upfront or as scheduled, and all taxes and applicable fees are the customer’s responsibility. You must provide a valid payment method (credit card or ACH-enabled bank account) at the time of purchase.
By purchasing a subscription and providing your payment information, you agree that we (or our agents) are authorized to charge recurring subscription fees and any related charges (such as upgrades or applicable taxes) to your provided payment method. If you choose to upgrade, any additional amounts will be prorated until your next billing cycle. Downgrades are not allowed within the initial 12-month subscription. If you downgrade after the 12-month period, you will continue your current subscription until the next billing period when your new subscription takes effect.
Each Listing Subscription renews automatically on a month-to-month basis after the initial Term unless you provide written notice of cancellation at least five business days before your billing date. Failure to pay on time may result in the termination of your subscription and the application of late payment fees, which can be up to $200 for invoices that are 30 days past due. Your subscription continues until you cancel it, and any applicable taxes are calculated based on your billing information at the time of purchase.
After the initial 12-month Term, ITProfiles may increase rates at its discretion, including for previously discounted services. Notice will be provided for rate increases above 10%, either through monthly billing or other methods. ITProfiles reserves the right to terminate or restrict access to its services at any time, without prior notification, for reasons including failure to pay fees.
Service Changes
ITProfiles constantly reviews, tests, and evolves its services to offer users the best options available. We retain the right to modify, add, reduce, or change product offerings at any time, without notice, and for any reason, including compliance with applicable laws. Such changes may affect the operation, order of advertisements, service delivery, and pricing. You acknowledge that services may evolve during the Term and are still responsible for payment despite these changes.
Disclaimer
To the maximum extent allowed by law, we provide our services and the information within them “as is” and “as available,” with all potential issues. There are no warranties of any kind, and using our services is entirely at your own risk.
ITProfiles does not make any claims regarding third-party companies featured on our platform. We do not endorse any business, service, or product shown on the site and do not recommend any company based on reviews or ratings. These reviews reflect individual opinions and should not be interpreted as factual statements. We do not guarantee the accuracy, quality, or reliability of user-generated content. Your decision to buy or use products or services reviewed here is entirely up to you.
We disclaim all warranties, including implied ones, like merchantability, fitness for a particular purpose, title, accuracy, or non-infringement. Our services may contain inaccuracies or errors, and we are not liable for these mistakes. Additionally, listing a company or product on our site does not mean we endorse or recommend it.
If you’re unhappy or feel harmed by anything related to ITProfiles, you can close your account, stop using our services, and terminate your agreement with us. That will be your only recourse.
We cannot guarantee that our services will run uninterrupted or error-free. Sometimes, maintenance, updates, or system issues may affect the service. We are not responsible for damages caused by such interruptions or errors. We also are not responsible for any issues due to poor internet connections, hardware problems, or any other technical difficulties.
If applicable laws require any warranties related to our services, these are limited to 90 days from your first use. In certain jurisdictions, exclusions or limitations on implied warranties may not apply to you.
Limitation of Liability
To the fullest extent allowed by law, ITProfiles will not be responsible for any indirect, incidental, or special damages arising from your use (or inability to use) of our services, even if we’ve been advised of the possibility of such damages. This includes, but isn’t limited to, any damage to your device, loss of data, or any other losses.
Our liability to you will always be limited to the amount you paid for the service during the year when the claim arose, no matter the type or number of claims.
Some jurisdictions do not allow certain liability limitations, so the above exclusions or limits may not apply to you.
Indemnification
You agree to defend and indemnify ITProfiles from any third-party claims, damages, losses, or expenses (including legal fees) related to (1) your violation of these Terms or (2) your use of our services.
Choice of Law and Arbitration
These Terms and any disputes will be governed by the laws of Delaware, United States, regardless of where you access ITProfiles. All disputes will be resolved through arbitration administered by the American Arbitration Association in Delaware. Arbitration will be conducted on an individual basis, not as a class or group action. By agreeing to arbitration, you waive your right to a jury trial.
You may still seek equitable relief, such as an injunction, through the courts. In any dispute over these Terms, the party that wins will be entitled to recover all related costs, including attorney’s fees.
Notices
Notices related to these Terms will be given through email or other communication methods you’ve designated for your account. Billing-related notices will go to the contact provided for billing.

ITProfiles includes links to third-party websites. We are not responsible for these sites and do not endorse their content, services, or products. You access them at your own risk. Our Terms do not apply to these third-party sites, which may have their own terms and privacy policies.
General Terms
Entire Agreement & Severability
These Terms constitute the entire agreement between you and **ITProfiles**. If any part of these Terms is found unenforceable, the rest will remain in effect.
Waiver of Rights
If we fail to act on a breach of these Terms, that does not mean we waive our right to do so later. Only a written, signed waiver by an officer of **ITProfiles** is legally binding.
Injunctive Relief
You are not entitled to seek any injunctive relief that would disrupt the services.
Assignment of Rights
You cannot transfer your rights or obligations under these Terms to anyone else. We may transfer our rights without notifying you.
